License Agreement

CartFactory is a provider of shopping cart functionality for Web Sites engaging in e-commerce.  Reseller accounts on our Internet servers are subject to compliance with the terms and conditions set forth below. Under the terms of this agreement, your creation and usage of any account on CartFactory is an acknowledgement that you have read and understood this agreement, and that you agree to be bound by the terms and conditions below. If you do not wish to be bound by these terms and conditions, you should NOT proceed to create a reseller account on CartFactory's servers or to use our services in any way.  By proceeding to create or reconfigure an account, and clicking the "I agree to the terms of service" button on this CartFactory reseller account creation/reconfiguration web page, or by facilitating the creation of a internet consumer's user account in CartFactory, you agree to the terms and conditions below. 
			
1.	RECITALS: 
A.	CartFactory, L.L.C. has developed a shopping cart/catalog solution called CartFactory.com for purchase over the Internet.  This program is a "link-to" solution.
B.	Reseller, or a related entity, operates a Web Site (the "Web Site") which is found on the Internet (at the "URL").

2.	AGREEMENT: CartFactory, L.L.C. hereby appoints Reseller as a non-exclusive agent to advertise, promote and use CartFactory.com and agrees to remit payments to Web Site on the terms described below.  
A.	Reseller agrees to use and market CartFactory.com exclusively.
B.	At the point in time Reseller chooses to market other shopping cart solutions, Reseller will cease using all CartFactory.com and CartFactory, Inc references, trademarks and other items of reference expressly listed in Item 6, below.
C.	Reseller can connect to CartFactory.com and set up accounts for his Visitors/Clients.  
1.	Resellers Credit Card will be charged $24.95  for each cart.
2.	These charges will be billed on Reseller's Credit Card.
3.	Reseller may then charge their Visitor/Client any price.
4.	Reports are available within the Reseller's Portion of the CartFactory system.

3.	PAYMENT TERMS: Payment for carts is billed on the 25th day of each month and processed on the charge card on the 30th day of each month. 
1.	Charges for the Reseller's Client's carts are made on the eighth (8) day of the ANNIVERSARY DATE of sign-up for that cart.  Any active cart at that time will be charged.
2.	For Reseller to incur no charges, the cart MUST BE deleted by 7 days after sign-up.

4.	ALL PRICES ARE SUBJECT TO CHANGE: The above pricing structure is subject to change with 30 days written notice.  If Reseller wishes to terminate this Agreement after notification of a Price Change, he may do so by deleting all carts within CartFactory.com.  Upon any termination, Reseller shall immediately cease promoting and offering CartFactory.com from Web Site.

5.	PROPRIETARY RIGHTS: CartFactory, L.L.C. shall retain all proprietary rights in and to the CartFactory.com.  Any use of the CartFactory.com image or Trademark shall inure to the benefit of CartFactory, L.L.C.  Reseller shall not take any action that shall disparage, dilute or adversely affect the distinctive quality of the CartFactory.com Trademark, CartFactory, L.L.C.'s public image or the widespread acceptance associated with the CartFactory.com Trademark.  Reseller acknowledges and agrees that CartFactory, L.L.C. is the sole owner of all right, title, and interest in and to the CartFactory.com Trademark.  Further, Reseller acknowledges and agrees that use of the CartFactory.com Trademark is permitted hereunder shall not create a unitary composite mark.

6.	TERM.  This agreement shall become effective as of the date hereof and shall remain in full force and effect until terminated by either party on 30 days notice by either party.  No termination shall effect any obligations arising prior to the effectiveness of said termination.  Upon any termination, Reseller shall immediately cease promoting and offering CartFactory.com from Web Site.

7.	FORCE MAJEURE. Neither party shall be responsible for delays or failures on performance resulting from acts beyond the control of such party. Such acts shall include but not be limited to acts of God, strikes, lockouts, riots, acts of war, epidemics, government regulations superimposed after the fact, fire, communication line failures, power failures, earthquakes or other disasters.

8.	OTHER.  This Agreement contains the entire agreement between the parties relating to the subject matter thereof and supersedes any and all other agreements, representations or warranties of the parties in connection with such subject matter.  This Agreement cannot be modified, amended or terminated unless it is in writing and signed by duly authorized representative of both parties.

9.	ACKNOWLEDGEMENT.  By creation of an account, or continuing to maintain an account on CartFactory servers you are stating and acknowledging that you have read the aforementioned terms and conditions and that you understand such terms and conditions and agree to be bound by them.  This contract can not be modified.
